1. Who we are

upbracelet.com (the "Site") and the products sold on it are owned and operated by K&B Company LLC, an Oregon limited liability company doing business as UpBracelet ("UpBracelet," "we," "us," or "our"). Contact: upbraceletstore@gmail.com.

2. Agreement to these Terms

By visiting the Site, creating an account, or purchasing anything from us, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Refund & Returns Policy, and Shipping Policy, which are incorporated by reference. If you do not agree, do not use the Site. You must be at least 18 years old, or the age of majority where you live, to place an order.

3. Products, descriptions, and pricing

Our bracelets are made of stainless steel with an 18K gold PVD (physical vapor deposition) finish on gold-tone components, polished beads, and an elastic cord. They are not solid gold, and we say so throughout the Site. Colors on screen may vary slightly from the physical product. Some product images are high-accuracy 3D renders of the exact product, and some lifestyle images are digitally composed; we disclose this on the Site. Prices are in US dollars and may change without notice. We make every effort to display accurate information but reserve the right to correct errors in pricing, descriptions, or availability, and to cancel any order affected by an error, in which case you will receive a full refund.

4. Orders and pre-orders

Your order is an offer to buy. We may accept or decline it, and we may limit quantities per person or household. Items marked "Pre-order" are charged at checkout and ship within the window shown on the product page. You may cancel a pre-order for a full refund at any time before it ships. We will notify you by email if the shipping window changes materially. Title and risk of loss pass to you when we hand the package to the carrier, subject to the remedies in our Shipping and Refund Policies.

5. Payment

Payments are processed by Shopify Payments and other third-party processors. By submitting payment information you represent that you are authorized to use the payment method. We do not store full card numbers.

6. Returns, guarantee, and shipping

Our 30-Day Promise, One-Year Guarantee, pre-order cancellation rights, and shipping terms are set out in the Refund & Returns Policy and Shipping Policy. Those documents control over anything inconsistent in these Terms.

7. Intellectual property

The UpBracelet name, the "Look Up to Him" wordmark and cross device, our logos, product designs, renders, photographs, copy, and the Site itself are owned by K&B Company LLC or its licensors and are protected by US and international trademark, copyright, and trade dress laws. You may not copy, reproduce, sell, or create derivative works from any of it without our prior written permission. Scripture quotations are from the King James Version (public domain).

8. Your conduct

You agree not to use the Site for any unlawful purpose, to interfere with its operation, to scrape or harvest data, to impersonate anyone, to submit false reviews, or to infringe anyone's rights. We may refuse service, cancel orders, or terminate accounts for violations.

9. Reviews and user content

If you submit a review, photo, or other content, you grant K&B Company LLC a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and display it in connection with UpBracelet, and you represent that you own it and that it is truthful. We publish only reviews from verified purchases and do not pay for or write reviews. We may remove content at our discretion.

10. Third-party links and tools

The Site may link to third-party sites or use third-party tools (payments, shipping, analytics, social media). We are not responsible for third-party content, products, or practices, which are governed by their own terms.

11. Disclaimer of warranties

Except for the express One-Year Guarantee and 30-Day Promise, the Site and products are provided "as is" and "as available." TO THE FULLEST EXTENT PERMITTED BY LAW, K&B COMPANY LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Our bracelets are jewelry, not medical or safety devices. Keep away from small children due to small parts and elastic cord. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, K&B COMPANY LLC, ITS MEMBERS, MANAGERS, OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING OUT OF OR RELATED TO THE SITE OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law, including for death or personal injury caused by our negligence.

13. Indemnification

You agree to indemnify and hold harmless K&B Company LLC and its members, managers, owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site or products, or your violation of any law or third-party right.

14. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. Most concerns can be resolved quickly by emailing us; we ask that you contact us first and give us 30 days to resolve any dispute informally. If we cannot, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any purchase will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court or seek injunctive relief for infringement of intellectual property. The arbitration will be conducted in Oregon or remotely, in English, and the Federal Arbitration Act governs this section. You and K&B Company LLC each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding. If the class action waiver is found unenforceable as to a particular claim, that claim will proceed in court and not in arbitration. You may opt out of this arbitration agreement by emailing us within 30 days of your first purchase with your name, order number, and a statement that you opt out.

15. Governing law and venue

These Terms and any dispute are governed by the laws of the State of Oregon and applicable US federal law, without regard to conflict-of-law rules. Subject to Section 14, the state and federal courts located in Oregon have exclusive jurisdiction, and you consent to personal jurisdiction there.

16. Changes, severability, and entire agreement

We may update these Terms at any time by posting the revised version with a new "Last updated" date; continued use of the Site after changes means you accept them. If any provision is held unenforceable, the rest remains in effect. These Terms, together with the policies incorporated above, are the entire agreement between you and K&B Company LLC regarding the Site and your purchases. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them to a successor of the UpBracelet business.
